• E11HOURS AI STUDIO (50%) - Located in Vancouver, British Columbia, Canada
• A sole proprietorship (50%) - Located in Florida, United States

3. Services Provided

VibeSell provides:

• AI Creative Studio tools for generating images, videos, audio, and 3D models
• A marketplace for buying and selling vibe-coded software projects
• Build in public features for sharing development progress
• Project listing and discovery services

4. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Be at least 18 years old or have parental consent

5. Marketplace Terms

5.1 Sellers

As a seller, you:

• Must own or have rights to sell the projects you list
• Are responsible for accurate project descriptions
• Must deliver working code as described
• Agree to VibeSell's commission structure on sales

5.2 Buyers

As a buyer, you:

• Purchase projects "as-is" with no warranties unless explicitly stated
• Receive source code and associated files as described
• May use, modify, and deploy purchased code according to the license
• Cannot resell or redistribute purchased code without explicit permission

6. AI Creative Studio

When using our AI generation tools:

• You must use coins/credits to generate content
• Generated content becomes your property
• You are responsible for ensuring generated content complies with laws
• We do not guarantee specific results or quality
• Coins/credits are non-refundable once used

7. Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or malware
• Engage in fraudulent activities
• Harass, abuse, or harm other users
• Generate illegal, harmful, or inappropriate content

8. Payment and Refunds

All payments are processed securely through our payment providers. Coin purchases are final and non-refundable. Marketplace purchases may be eligible for refunds within 7 days if the project fundamentally does not work as described.

9. Intellectual Property

VibeSell retains all rights to our platform, branding, and features. User-generated content and listed projects remain the property of their respective creators, subject to licenses granted through purchases.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR SPECIFIC RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBESELL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

12. Governing Law

These terms shall be governed by the laws of British Columbia, Canada and Florida, United States, without regard to conflict of law principles.
